1. Introduction & Acceptance of Terms

These Terms & Conditions ("Terms") govern the access to and use of the website https://rccsoft.in/ ("Website"), and the purchase, licensing, installation, use, and support of all software products developed and/or distributed by Ravi Computer Consultancy ("RCC", "Company", "we", "us", or "our"), including the Miracle range of accounting software and its variants described in Section 4 below (collectively, the "Software").

By visiting the Website, requesting a demo, placing an order, downloading, installing, activating, or using any Software or service offered by RCC, the customer/user ("Client", "Customer", "User", or "you") agrees to be bound by these Terms, along with our Privacy Policy and any product-specific end-user license agreement (EULA) provided at the time of purchase. If you do not agree with any part of these Terms, please discontinue use of the Website and Software immediately.

2. Definitions

1. "Software" – means any Miracle-branded accounting, billing or business-management application (including all copies/variants such as Miracle Account, Miracle Agri, Miracle Gin, Miracle Mandi, and Miracle Petro), together with associated updates, patches, documentation and modules.
2. "License" – means the non-exclusive, non-transferable right granted by RCC to the Client to install and use a specific copy/variant of the Software on the number of systems/users for which it has been purchased.
3. "Client Data" – means all accounting, transactional, financial and business data entered, stored, or processed by the Client using the Software.
4. "Support Services" – means telephonic, remote, email, or in-house technical assistance provided by RCC as described in Section 7.
5. "Authorized Reseller/Partner" – means any entity or individual expressly authorized in writing by RCC to sell or support the Software.

3. Overview of Software Products & Copies

RCC develops and supports the "Miracle" family of accounting and business-management software. Miracle is offered in multiple product copies/variants, each tailored to a specific business category and industry practice. The Client is responsible for selecting the correct product/variant suited to its business; RCC's sales team may be consulted for guidance prior to purchase.

Miracle Account (Billing Copy & Standard Copy)

Relevant Client Use: Accountants, traders, dealers, distributors, manufacturers, and general businesses of any size requiring day-to-day billing and full-fledged accounting.

Miracle Agri

Relevant Client Use: Seeds, pesticides and fertilizer dealers, retailers and wholesalers requiring product batch and expiry-based accounting.

• Product-wise multi trading account and packing/stock tracking in Kg/Ltr

Relevant Client Use: Cotton ginners, spinners, pressing and milling units, and job-work operators in the ginning/spinning industry.

Miracle Petro

Relevant Client Use: Petrol pumps, fuel retail outlets and gas stations requiring shift, pump and tank-based accounting.

• Shift-wise pump reading entry with automatic daily sales calculation and dip reading for stock verification
• Delivery challan for transporters with auto-bill generation and voucher regeneration facility
• Complete financial accounting integrated with fuel pump/product/tank/volume masters
• Vehicle-linked party accounts, shift master with shift-wise manager assignment
• Date/product/pump/tank-wise status reports, party status with tax-paid rate
• Daily cash summary and e-Return of VAT Form 212/213

Note: Feature sets listed above reflect the standard configuration of each Software copy as offered on the Website (https://rccsoft.in/products) as of the Effective Date. RCC reserves the right to add, remove, or modify features, reports, and modules in future versions/updates without prior notice, and to introduce additional copies or discontinue existing ones at its sole discretion.

4. License Grant & Restrictions

6. Upon full payment of applicable fees, RCC grants the Client a non-exclusive, non-transferable, revocable license to install and use the purchased copy of the Software strictly for the Client's own internal business operations.
7. The license is limited to the number of computers/users/locations specified in the invoice or license certificate. Use beyond the licensed scope requires purchase of additional licenses.
8. The Client shall not copy, reverse-engineer, decompile, disassemble, modify, rent, lease, sublicense, resell, or distribute the Software, in whole or in part, without prior written consent from RCC.
9. Any dongle, activation key, license code, or registration credential issued is confidential and must not be shared with unauthorized third parties. Misuse may result in immediate license revocation without refund.
10. RCC reserves the right to embed license-validation and anti-piracy mechanisms within the Software, including online activation checks.

5. Ordering, Pricing & Payment

11. Prices for each Software copy/variant, along with applicable modules and add-ons, will be communicated via quotation, invoice, or as displayed on the Website/product literature, and are exclusive of applicable GST unless stated otherwise.
12. An order is confirmed only upon receipt of the agreed advance/full payment. Software delivery, installation, or activation will follow confirmation of payment.
13. Annual Maintenance Contracts (AMC), renewal fees, and update charges (if applicable) must be paid as per the schedule communicated by RCC to continue receiving Support Services and version updates.
14. All payments once made are non-refundable except where expressly agreed in writing by RCC, save for statutory rights available to the Client under applicable law.

6. Installation, Training & Data Responsibility

15. RCC or its authorized partner will provide reasonable assistance for initial installation and basic training on the purchased Software, subject to the terms of the specific purchase agreement.
16. The Client is solely responsible for maintaining regular backups of Client Data. While the Software includes backup-related utilities (including secure/ransomware-protected backup features in select copies), RCC does not guarantee against data loss arising from hardware failure, virus/ransomware attack, improper use, power failure, or third-party interference.
17. The Client is responsible for ensuring that the hardware, operating system, and network environment meet the minimum system requirements prescribed by RCC for the relevant Software copy.
18. Accuracy and legal compliance of data entered into the Software (including for GST, TDS/TCS, and other statutory returns generated through the Software) remains the sole responsibility of the Client. RCC's Software is a tool to facilitate calculations and report generation; it does not constitute professional tax, legal, or accounting advice.

7. Support Services

19. RCC provides tech support to registered/licensed Clients through its Call Centre, Remote Support, Email Support (software.rcc@gmail.com), and In-house Support at its Rajkot office, as described on the Website.
20. Support Services are ordinarily provided for the duration covered under a valid AMC/support subscription. Clients without an active AMC may be offered support on a chargeable, per-incident basis at RCC's discretion.
21. Remote support sessions require the Client's consent to enable remote access to their system; the Client may observe all actions performed by RCC's support personnel during such sessions.
22. Support does not cover issues arising from unauthorized modification of the Software, use of pirated/unlicensed copies, third-party software conflicts, hardware failure, or misuse.

8. Software Updates & Upgrades

23. RCC may, from time to time, release updates, patches, or new versions of the Software to add features, ensure statutory (e.g., GST/TDS) compliance, or fix defects.
24. Continued access to updates is generally linked to an active AMC/subscription. Major version upgrades may be chargeable separately, as communicated by RCC.
25. The Client acknowledges that statutory forms, tax rates, and e-return formats (GSTR, TDS/TCS, VAT forms, etc.) are subject to change by government authorities, and timely update of the Software is necessary to remain compliant.

9. Intellectual Property Rights

26. All right, title, and interest in and to the Software, including its source code, object code, design, database structures, trademarks (including "Miracle" and "RCC"), logos, documentation, and the content of the Website, are and shall remain the exclusive property of Ravi Computer Consultancy or its licensors.
27. No provision of these Terms transfers any ownership or intellectual property rights to the Client. The Client receives only the limited license described in Section 4.
28. Unauthorized use, reproduction, or distribution of RCC's intellectual property may result in civil and criminal liability under applicable law.

10. Warranty Disclaimer

The Software is provided on an "as is" and "as available" basis. Except as expressly stated in a specific purchase agreement or as required by applicable law, RCC makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. RCC does not warrant that the Software will operate uninterrupted or error-free, or that all defects will be corrected.

11. Limitation of Liability

29. To the maximum extent permitted by law, RCC's aggregate liability arising out of or relating to the Software, Support Services, or these Terms shall not exceed the amount actually paid by the Client for the relevant Software copy in the twelve (12) months preceding the claim.
30. RCC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, goodwill, or data, even if advised of the possibility of such damages.
31. RCC shall not be held responsible for penalties, interest, or losses arising from incorrect data entry, delayed statutory filings, or non-adoption of a released update by the Client.

12. Termination

32. RCC may suspend or terminate the Client's license and/or Support Services, without refund, in the event of non-payment of dues, unauthorized use, breach of these Terms, or use of the Software for unlawful purposes.
33. Upon termination, the Client must immediately cease using the Software and, if requested, provide written confirmation of removal/uninstallation of the Software from all systems.
34. Termination shall not affect any accrued rights, obligations, or liabilities of either party existing as of the date of termination.

13. Confidentiality & Data Privacy

RCC will treat Client business information shared for the purposes of installation, support, and license management as confidential, and will not disclose such information to third parties except as required for providing Support Services, as required by law, or with the Client's consent. The Client agrees not to share license credentials, source files, or proprietary documentation of the Software with unauthorized third parties.

14. Website Use

35. Content on the Website (https://rccsoft.in/), including product descriptions, images, and feature lists, is provided for general information purposes and may be updated periodically without prior notice.
36. Visitors shall not misuse the Website by introducing viruses, attempting unauthorized access, or scraping content for commercial redistribution without RCC's written permission.
37. Any enquiry, demo request, or order placed through the Website is subject to confirmation and acceptance by RCC.

15. Amendments to Terms

RCC reserves the right to modify, update, or replace these Terms at any time. The revised Terms will be posted on the Website with an updated effective date, and continued use of the Software or Website after such changes constitutes acceptance of the revised Terms. Clients are encouraged to review these Terms periodically.

16. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms, the Software, or Support Services shall be subject to the exclusive jurisdiction of the competent courts at Rajkot, Gujarat, India.
